On a 2024 earnings call, after a federal judge had already killed JetBlue Airways’ $3.8 billion bid for Spirit Airlines, the ultra-low-cost carrier’s chief executive told analysts that nearly all of the profits in U.S. air travel had pooled inside two companies. Smaller airlines, he said, were left scrambling « in what seems ever more like a rigged game. » American travelers, in his phrasing, were « the long-term losers. » Two years later the yellow-and-black fleet was on the ground, about 17,000 paychecks had stopped, and the largest carriers owned even more of the sky he had described.

<iframe loading="lazy" title="I took one of Spirit's LAST flights... then they shut down & stranded me! He sold the JetBlue combination as a way to build « a real challenger to the dominant ‘Big 4’ U.S. airlines » — American, Delta, United, and Southwest. In January 2024, U.S. District Judge William Young sided with the Justice Department and blocked the purchase. The court found that folding Spirit into JetBlue would take cheap seats off the board in city pairs where Spirit still disciplined fares. Christie answered that the ruling was « a serious misreading of both the evidence and the law » and that Washington had treated two carriers with a combined share under 8 percent as if they were the problem instead of the four airlines that already controlled the majority of domestic capacity.

Investors heard the « rigged game » line as an attack on the Biden-era antitrust staff. Travelers heard something simpler: if the discounter that made a Tampa weekend possible could not survive on its own, the next sale would not be a $29 base fare. Both readings turned out to be incomplete. The Justice Department won the injunction. Spirit still collapsed. The cheap seats did not migrate intact to JetBlue, and they did not stay on Spirit either.

How a fare discounter ran out of cash twice

The injunction did not, by itself, put Spirit into bankruptcy court. The company had already burned through years of losses, aircraft-lease obligations, and a fare war in which the larger brands copied bag fees, seat pitches, and « basic economy » pricing that used to be Spirit’s edge. On November 18, 2024, Spirit filed Chapter 11 — the first major U.S. passenger airline to do so since American’s case in 2011. A prepackaged plan converted about $795 million of debt into equity, layered in a $350 million equity infusion, and canceled the old common stock. The carrier walked out of that case on March 12, 2025, talking about a « stronger airline. »

Christie was not there to operate it. He resigned on April 7, 2025, the same week Chief Commercial Officer Matt Klein left. Filings later showed Christie had taken a $3.8 million retention bonus days before the November petition, part of a 2024 compensation package reported above $8 million. Crews who had already taken schedule cuts noticed the timing. The board installed Dave Davis, a former Sun Country and Northwest Airlines executive, as CEO effective April 21, 2025, and told him to push the brand away from pure no-frills flying.

Davis parked jets, dropped thin routes, canceled Airbus deliveries, and furloughed crews. It was not enough. After a credit-card processor locked up liquidity and lessors moved on the fleet, Spirit filed Chapter 11 a second time on August 29, 2025 — five months after the first exit. Creditors sketched a slimmer plan in February 2026 that was supposed to produce another emergence that summer. By then the airline was no longer the seventh-largest passenger carrier in North America in any meaningful operational sense. It was a balance sheet with a tail number.

Fuel prices then jumped during the 2026 war involving Iran, the United States, and Israel. Counsel for Spirit told the bankruptcy judge that the spike would have drained hundreds of millions of dollars from an already thin cash account. A last push for a roughly $500 million federal rescue under the Trump administration died after rival carriers and members of Congress lined up against it. Flying stopped at 3:00 a.m. Eastern Time on May 2, 2026. « We just kind of ran out of runway, » Davis told CNBC. The last scheduled trip, Detroit to Dallas–Fort Worth, landed shortly after midnight. The Department of Transportation pressed remaining airlines to move stranded passengers and to cap opportunistic fares. After 33 years, Spirit Aviation Holdings described an « orderly wind-down. »

Pledges, planes, and a market that did not reopen

Within hours of the shutdown, TikTok creator Hunter Peterson stood up a « Let’s Buy Spirit » / « Spirit 2.0 » campaign. Nonbinding pledges raced past $300 million in a week and were reported near $337 million from more than 370,000 people; other tallies floated even higher before the pledge site crashed under traffic. Actual cash later raised for a vehicle that could bid on certificates, slots, or aircraft was a small fraction of those screenshots. In June 2026, Peterson said the group had not hit a $5 million threshold needed to make a bid before a deadline, that investor money would be returned, and that the project would shift toward trying to stand up a new airline rather than resurrect the old one. No scheduled yellow-tail flights have returned.

Building an airline is not a merch drop. An air-carrier certificate, insurance, trained crews, maintenance programs, and working capital measured in the billions sit between a viral pledge page and a departure board. The campaign proved that a lot of people missed $49 fares to Orlando. It did not prove that those people could staff a hangar.

That is the part of Christie’s 2024 speech that aged least like a complaint and most like a map. When an ultra-low-cost carrier disappears, the remaining network does not automatically fill every Fort Lauderdale–to-somewhere itinerary at the old price. American, Delta, United, and Southwest already held roughly four-fifths of U.S. capacity. Removing Spirit concentrated that share further. Leisure travelers who built trips around a tiny base fare plus a pile of add-ons now face fewer alternatives on the same city pairs, which is the outcome the Justice Department said it was trying to prevent when it blocked JetBlue — and the outcome Christie said would arrive anyway if Spirit could not combine with a partner.

The AEGIS Alliance has followed how consolidation in U.S. business leaves households with fewer options when a discounter fails. The same pattern shows up when a carrier cancels a long-haul trip with little warning, as in the Air Japan Dallas-to-Tokyo cancellation that dumped passengers into a market with almost no backup seats. Job loss on this scale also belongs next to reporting on how millions of U.S. jobs vanished in earlier shocks. Broader shutdown fallout sits in our U.S. news file.

Christie’s « rigged game » line was easy to mock in May 2024, when Spirit was still boarding passengers and selling Big Front Seat upgrades. It is harder to dismiss after two bankruptcies, a failed bailout, a fan campaign that could not buy a single Airbus, and a last flight that landed in Dallas after midnight. The passengers he called long-term losers are the ones refreshing airline apps and discovering that the cheap extra frequency is simply gone.

Featured Image: CC/Flickr/David Ackerman

Ted Christie said Big Four profits made air travel a rigged game and called passengers the long-term losers.
